Pursuant to the provisions of Article 39, Act on the Takeover of Joint Stock Companies (Official Gazette no. 109/07, 36/09, 108/12, 90/13-Resolution by CCRC (Constitutional Court Of The Republic Of Croatia), 99/13-Resolution by CCRC and 148/13), PODRAVKA food processing industry Inc, headquartered in Koprivnica, A. Starčevića 32, registered with the Commercial Court in Varaždin, MBS: 010006549, OIB: 18928623252 (hereinafter: the Bidder), hereby announces its

REPORT ON TAKEOVER of the MIRNA Business system for catch, processing and trade of fish and fish products, Inc.

1. COMPANY, LEGAL FORM, HEADQUARTERS AND BUSINESS ADDRESS OF THE BIDDER:

PODRAVKA food processing industry Inc, headquartered in Koprivnica, A. Starčevića 32, registered with the Commercial Court in Varaždin, MBS: 010006549, OIB: 18928523252.

2. COMPANY, LEGAL FORM, HEADQUARTERS AND LEGAL ADDRESS, I.E. NAME, LAST NAME AND ADDRESS OF THE ENTITIES WORKING TOGETHER WITH THE BIDDER:

The Bidder is not working with any legal or natural person regarding the shares of the target company.

3. COMPANY, HEADQUARTERS AND BUSINESS ADDRESS OF THE TARGET COMPANY:

MIRNA Business system for catch, processing and trade of fish and fish products, Rovinj, Giordano Paliaga 8, registered with the Commercial Court in Rijeka – permanent post in Pazin, MBS: 040031749, OIB: 15761637292.

4. NUMBER OF SHAREHOLDERS ACCEPTING THE TAKEOVER BID:

7 (seven) shareholders accepted the bid for takeover of the target company.

5. NUMBER OF STORED SHARES THAT THE BIDDER PAID AND TOOK OVER (IN ABSOLUTE AND RELATIVE AMOUNT):

The bidder paid and took over 37.153 shares, i.e. 10.09% of total shares issued with the ticker MRNA-R-A.

6. NUMBER OF SHARES STORED, WITH DISPUTED STORAGE OR WITHDRAWAL:

There were no shares with disputed storage or withdrawal.

7. NUMBER AND PERCENTAGE OF SHARES OF THE TARGET COMPANY THAT THE BIDDER AND THE ENTITIES THE BIDDER IS ACTING JOINTLY WITH, ARE HOLDING AFTER THE TAKEOVER BID, BOTH INDIVIDUALLY AND TOTALLY:

After the takeover bid, the bidder is the holder of 235,362 shares of the Target Company, comprising 63.95% of the total number of regular shares of the target company, with the ticker MRNA-R-A.
