Re: Merger of limited liability companies

Pursuant to the Capital Market Law and the Zagreb Stock Exchange Rules, we hereby inform that the subsidiary companies LERO d.o.o. and ITAL-ICE d.o.o. have been merged with PODRAVKA Inc. as follows:

• by Ruling no. Tt-14/3912-5 of the Commercial Court Rijeka, dated 4 th June 2014 and Ruling no: Tt-14/1651-2 of the Commercial Court Varaždin, dated 23 rd July 2014, the company LERO d.o.o. has been merged with PODRAVKA Inc. and
• by Ruling no. Tt-14/3917-4. of the Commercial Court Rijeka permanent department in Pazin, dated 09th June 2014 and Ruling no: Tt-14/1651-2 of the Commercial Court Varaždin, dated 23 rd July 2014, the company ITAL-ICE d.o.o. has been merged with PODRAVKA Inc.

As of the date of entering the merger in the court register, the stated subsidiary companies cease to exist, and PODRAVKA Inc. as the sole member – holder of 100% share in the stated companies, becomes the legal successor of the merged companies.

This notice will be published at the Zagreb Stock Exchange, HANFA, HINA and company web site.
