Re: Notice – pursuant to provisions of Article 459 of the Capital Market Law

• Election of PODRAVKA d.d. Supervisory Board president and deputy president;
• Acceptance of an Agreement on PODRAVKA d.d. Management Board membership termination for Management Board president and members
• Acceptance of resignations of current president and members of Podravka Management Board
• Appointment of new president and members of Podravka Management Board

Pursuant to the Capital Market Law (Official Gazette no. 88/08, 146/08 and 74/09), Company Law (Official Gazette no. 111/93, 34/99, 121/99, 52/00, 118/03, 107/07, 146/08, 137/09 and 152/11) and the Rules of the Zagreb Stock Exchange, we hereby inform you that the State Property Management Agency submitted to PODRAVKA d.d. its resolution on changing the appointed members to the Supervisory Board of PODRAVKA d.d.

Former PODRAVKA d.d. Supervisory Board president, Mr. Ljubo Jurčić, submitted his resignation to the State Property Management Agency - as an appointed member to the position of PODRAVKA d.d. Supervisory Board member, and he has informed PODRAVKA d.d. about this in writing.

State Property Management Agency reached another resolution to recall the appointed PODRAVKA d.d. Supervisory Board member, Mr. Miljenko Javorović and to appoint Mr. Mate Crkvenac and Mr. Ivo Družić as new members of PODRAVKA d.d. Supervisory Board.

Pursuant to these resolutions, at its today's session the Supervisory Board of PODRAVKA d.d. reached a resolution on electing Mr. Dubravko Štimac as PODRAVKA d.d. Supervisory Board president and Mr. Mate Crkvenac as Supervisory Board deputy president.

After that the Supervisory Board accepted an Agreement on PODRAVKA d.d. Management Board membership termination for the current Management Board president and members, and accepted resignations by PODRAVKA d.d. Management Board of the former president and members, as follows:

• Mr. Krunoslav Bešvir PODRAVKA d.d. Management Board member
• Mrs. Lidija Kljajić PODRAVKA d.d. Management Board member
• Mr. Marin Pucar PODRAVKA d.d. Management Board member
• Mr. Miroslav Repić PODRAVKA d.d. Management Board member

Having accepted the Agreement and the resignations of the former president and members of PODRAVKA d.d. Management Board, the Supervisory Board reached a resolution on appointing the new president and members of PODRAVKA d.d. Management Board, as follows:

• Mr. Zvonimir Mršić PODRAVKA d.d. Management Board president
• Mrs. Jadranka Ivanković PODRAVKA d.d. Management Board member
• Mrs. Olivija Jakupec PODRAVKA d.d. Management Board member
• Mr. Miroslav Klepač PODRAVKA d.d. Management Board member
• Mr. Jorn Pedersen PODRAVKA d.d. Management Board member

PODRAVKA d.d. Supervisory Board also approved Rules of procedure for PODRAVKA d.d. Management Board, which was afterwards adopted at the newly appointed Management Board session.
