Phoenix Group Holdings (the "Company")

In compliance with Listing Rule 9.6.14, the Company announces that Jim McConville, Group Finance Director, has been appointed a director of Pearl Group Holdings (No.1) Limited, which has debt securities listed on the London Stock Exchange.   

In addition and also in compliance with Listing Rule 9.6.14, Jim McConville has been appointed a director to PGH (LCA) Limited and PGH (MC2) Limited, both of which have debt securities listed on the Channel Islands Stock Exchange.  

All appointments were effective from 7 January 2013.
