NTF Investments to purchase up to 30.5M GBP in shares

and

Notice of General Meeting

On 20 March 2023, the Company announced that:

·   it intended to return value to Shareholders at the latest following the Bitcoin halving currently anticipated to take place in April 2024;

·   it intended to achieve this by purchasing its own shares through a tender offer under which Shareholders would have the opportunity to sell shares on a pro-rata basis; and

·   a purchase of shares by tender offer would be subject to both Shareholder approval and the consent of the Court to a reduction of capital required to create distributable reserves.

The tender offer will be for a maximum of 857,142,857 shares. The Tender Offer price has not been set but will be a maximum of whichever is the greater of 3.5p per share and an amount equal to the Net Asset Value per share as announced by the Company on a Regulatory Information Service from time to time

Your Board is convening a General Meeting to be held on 26 May 2023 at 10:00 a.m. at the offices of Fladgate LLP, 16 Great Queen Street, London, WC2B 5DG in order to seek the Shareholder approvals referred to above.

The formal notice of the General Meeting will be posted to all shareholders today and will be available to download from the company's website www.nftinvest.pro from that date.
