(b) On March 17, 2011, Edward A. Snyder, one of the directors of Career Education Corporation (the “Company”), notified the Company’s Board of Directors of his intention not to stand for re-election at the Company’s Annual Meeting of Stockholders scheduled for May 19, 2011. Mr. Snyder also serves as a member of the Board’s Audit and Compliance Committees. Mr. Snyder advised the Company that his decision was not based on any disagreement with the Company, its management or its other directors. The Board intends to reduce its size to eight members effective as of the 2011 Annual Meeting.
