Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

As previously disclosed in our Current Report on Form 8-K filed with the Securities and Exchange Commission on November 6, 2023, the Board of Directors (the “Board”) of PepsiCo, Inc. (“PepsiCo”) appointed James (“Jamie”) Caulfield as PepsiCo’s Executive Vice President and Chief Financial Officer, effective November 30, 2023. In connection with the appointment of Mr. Caulfield, on November 16, 2023, the Compensation Committee of the Board set Mr. Caulfield’s annual base salary as Executive Vice President and Chief Financial Officer at $700,000 and Mr. Caulfield’s annual incentive target at 150% of base salary. Mr. Caulfield’s annual incentive award payout will be prorated for the fiscal year ending December 30, 2023 and will be determined by achievement of PepsiCo’s pre-established performance goals. Mr. Caulfield will continue to be eligible to participate in PepsiCo’s long-term incentive program.
