With reference to the captioned subject, we hereby inform you that the Nomination and Remuneration Committee of the Board of Directors of the Company on February 8, 2023 has approved the allotment of 77,500 (Seventy-Seven Thousand and Five Hundred Only) Equity Shares of ₹2/- (Rupees Two Only) each to the employees of the Company, who have had exercised stock options vested under PDS Limited (Erstwhile PDS Multinational Fashions Limited) - Employee Stock Option Plan 2021 and PDS Limited (Erstwhile PDS Multinational Fashions Limited) – Employee Stock Option Plan 2021 – Plan A.

Consequent to the aforesaid allotment, the Issued, Subscribed and Paid-up Capital of the Company has increased to ₹ 26,17,89,740/- divided into 13,08,94,870 Equity Shares at the Face Value of ₹2/- each.
