Dear Madam,

This notice is given by Kin Mining NL ( the Company ) under Section 708A(5)(e) of the Corporations Act 2001 (Cth) ( Corporations Act ).

The Company hereby confirms that:

a) Today, the Company has issued 20,049,375 fully paid ordinary shares ( Shares ) at an issue price of $0.32 (32 cents) per Share to Sophisticated and Professional Investors pursuant to the Capital Raising announced 3 May 2017.
b) The Shares were issued without disclosure to investors under Part 6D.2 of the Corporations Act;
c) The Company is providing this notice under section 708A(5)(e) of the Corporations Act;
d) As at the date of this notice the Company has complied with:
- a. The provisions of Chapter 2M of the Corporations Act as they apply to the Company; and
- b. Section 674 of the Corporations Act; and
e) As at the date of this notice, there is no information that is “excluded information” (within the meaning of sections 708A(7) and 708A(8) of the Corporations Act) which is required to be disclosed by the Company.
