We refer to our letter dated 25/01/2015 and hereby inform you that the Board of Directors meeting was held as scheduled on 28/01/2015, at 10:00 am. Following are the meeting results:

• 1- Reviewed the financial results for the financial year ending 31/12/2014. discussed and unanimously approved by the Directors.
• 2- Resolved to fix the date of Annual General Assembly meeting in consultation with Securities & Commodities Authority and Insurance Authority.
• 3- Recommend to the Shareholders to approve 20% cash dividends.
• 4- Reviewed the Corporate Governance report for the year 2014 and approved by the Directors.

As there were no other topics brought for discussion, the meeting was adjourned at 12:30 pm.

لاحقا لكتابنا المؤرخ في ٢٠١٥/١/٢٥ ، بهذا نود أن نحيط سيادتكم علما أن مجلَّس إدارة الشركة قد انعقد بتاريخ ٢٠١٥/١/٢٨ في تمام الساعة العاشرة صباحا ، وقد أسفر الاجتماع عن الآتي :

١- تم عرض البيانات المالية للسنة المالية كما في ٢٠١٤/١٢/٣١ ومناتشتها والموافقة عليها بالإجماع من قبل أعضباء مجلس الادارة.

٢- نحديد موعد اجتماع الجمعية العمومية العادية
لمساهمي الشركة وذلك بالتشاور مع هيئة الأور اق المالية و هيئة التأمين.

• ٣- رفع توصية للجمعية العلمة للمساهمين بتوزيع
  أرياح نقدية بواقع ٢٠%.
• ٤- تم عرض تقرير الموكمة للشركة العام ٢٠١٤ ، ثمت الموافقة عليه من مجلس الإدار ة

وحيث لم يتم طرح أية أمور أخرى للنقاش في الاجتماع
فقد انتهى الاجتماع في تمام الساعة الثانية عشرة والنصف ظهرا على ذلك .
