NNS City (Cyprus) Ltd acquired from NNS Holding (Cyprus) Limited 33,795,881 shares (the "Shares") in Orascom Construction PLC (the "Company"), representing 30.66% of the Company's issued share capital.

This transaction forms part of an internal reorganisation within the NNS Group and does not result in any change in the ultimate beneficial ownership of the Shares.

As at the date of this disclosure, Mr. Nassef Sawiris, together with entities held for his benefit, ultimately owns 48,455,933 shares in the Company, representing 43.95% of the Company's issued share capital, held through the following entities:

• NNS City (Cyprus) Ltd: 33,795,881 shares, representing 30.66% of the issued share capital;
• NNS City: 14,630,610 shares, representing 13.27% of the issued share capital;
• Mr. Nassef Sawiris: 29,442 shares, representing 0.027% of the issued share capital.
