OMV Aktiengesellschaft: OMV participates in second phase of bidder process for acquisition of DSM Engineering B.V.

Vienna (pta044/06.05.2022/18:09) - OMV participates in the second phase of the competitive bidder process (involving several bidders) currently conducted by the Dutch corporation Koninklijke DSM N.V for the acquisition of 100% of the shares in DSM Engineering Materials B.V. The potential transaction would allow OMV to expand its chemical portfolio beyond polyolefins.

A potential transaction is, inter alia,subject to (i) OMV's success in the competitive bidder process, (ii) satisfactory completion by OMV of its due diligence process, (iii) agreement with Koninklijke DSM N.V. in (potentially) upcoming negotiations on the commercial transaction parameters and the transaction documents (consisting, in particular,ofa share purchase agreement and, potentially, other ancillary transaction documentation), (iv) approvals of the potential transaction by the Executive Board and by the Supervisory Board of OMV, and (v) governmental approvals and/or clearances (such as merger control) by authorities.

In particular, the Supervisory Board of OMV has not yet deliberated on the potential transaction and a potential decision by it thereon is currently not foreseeable. A respective decision is expected to be taken as soon as possible.
