(b) On November 15, 2021, Pat D. Dawson, Executive Vice President and President, Epoxy and International, a named executive officer, announced his intention to retire from Olin Corporation (“Olin”) effective April 30, 2022, or an earlier mutually agreeable date. He will be leaving his current position of Executive Vice President and President, Epoxy and International effective November 29, 2021, and continuing as an Executive Vice President until his retirement date.

Item 7.01. Regulation FD Disclosure.

On November 15, 2021, Olin issued a press release announcing the pending retirement of Mr. Dawson and other leadership changes at Olin. A copy of the press release is furnished as Exhibit 99.1 to this report.
