ITEM 2.02. RESULTS OF OPERATIONS AND FINANCIAL CONDITION

Office Depot, Inc. (the “Company”) issued an earnings release on August 5, 2014, announcing its financial results for the three and six month periods ended June 28, 2014. The earnings release also contains forward-looking statements relating to the Company’s fiscal year 2014. A copy of the earnings release is furnished as Exhibit 99.1 to this Current Report.
