Item 3.01 Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.

On September 15, 2014, Office Depot, Inc. (the “Company”) provided written notice to the New York Stock Exchange (the “NYSE”) of its intention to voluntarily transfer the listing of its common stock, par value $0.01 per share, to The NASDAQ Global Select Market (“NASDAQ”). NASDAQ has authorized the listing of the Company’s common stock on the NASDAQ Global Select Market. The Company expects to cease trading on the NYSE at market close on September 25, 2014 and to commence trading on NASDAQ on September 26, 2014 under the Company’s current stock symbol “ODP”.
