Reference is made to the announcement made by NRC Group ASA ("NRC Group" or the

"Company") on 7 January 2019, regarding the Company's completion of the

acquisition of VR Track Oy ("VR Track") and the issuance of 9,877,953 new shares

in the Company as partial consideration to VR Group Ltd., being the seller of VR

Track.

The share capital increase pertaining to this share issuance has now been

registered with the Norwegian Register of Business Enterprises. The Company's

new share capital is NOK 53,904,223, divided into 53,904,223 shares, each with a

nominal value of NOK 1.
