NRC Group - Major Shareholding Notification 2016

Notification of trade in NRC Group ASA

On 25 May 2016, Urbex Invest AS has purchased 975,000

shares in the NRC Group ASA at a price of NOK 43.7490

per share in accordance with the terms of the forward

contract entered into on 11 November 2015.

Furthermore, Urbex Invest AS has entered into a new

forward contract to purchase 975,000 shares at a price

of NOK 44.4380 per share. The term of the forward

contract is six months, with expiry on 21 November

2016. At the same time, Urbex Invest AS has sold

975,000 shares to the counterparty in the forward

contract, at a price of NOK 43.7490 per share.

Kristian G. Lundkvist, who is member of the of the

board of directors of NRC Group ASA, is (indirectly)

the majority shareholder of Urbex Invest AS, through

the companies Middelborg AS and Merckx AS.

Following the above transactions, Urbex Invest AS owns

5,446,828 shares in NRC Group ASA (not including the

shares covered by the forward contract), representing

approximately 15.43% of the total shares and votes in

the company.

The above shareholding of Urbex Invest AS includes

1,039,795 shares in NRC Group ASA that have been lent

to Lundkvist's co-owners in Urbex Invest AS in

anticipation of a possible redemption of the co-owners

in exchange for a distribution from Urbex Invest AS of

the same number of shares in NRC Group ASA. If such

redemption be carried out, Lundkvist's effective

ownership in NRC Group ASA will remain the same, as

the possible transactions in Urbex Invest AS will

relate to the minority shareholders only.

This notification is made with reference to Sections 4-

2 and 4-4 of the Norwegian Securities Trading Act.
