NRC Group has completed the acquisition of Gunnar Knutsen AS

Reference is made to the announcement on 30 August 2018 from NRC Group ASA ("NRC

Group" or the "Company") regarding the agreement for NRC Group's acquisition of

Gunnar Knutsen AS.

NRC Norge AS, a wholly owned subsidiary of NRC Group, has today completed the

acquisition of Gunnar Knutsen AS.

In connection with the acquisition, the board of directors of the Company has

resolved to issue 847,677 new shares in the Company at a price per share of NOK

68.92. The new shares are issued as partial consideration to the seller of

Gunnar Knutsen AS pursuant to an authorization granted by the Company's

extraordinary general meeting on 19 April 2018.

The Company's new share capital following the resolution is NOK 44,026,270

divided on 44,026,270 shares, each of with a nominal value of NOK 1. The share

capital increase is subject to registration with the Norwegian Register of

Business Enterprises.
