SPP UPDATE
NOVONIX Limited (ASX: NVX) (the Company ) refers to the Share Purchase Plan (the Plan or SPP ) announced on 16 December 2019. Offers were made under the SPP without a prospectus and relying on ASIC Corporations (Share and Interest Purchase Plans) Instrument 2019/547 ( ASIC Instrument ). A condition of the ASIC Instrument is that a company announces a ‘cleansing notice’ to the market within the 24-hour period prior to shares being offered under the SPP.
Offers were made under the SPP electronically at 12.21pm Brisbane time on 17 December 2019; approximately 3 hours before a ‘cleansing notice’ was announced to ASX. As a result, the Company did not comply with the ASIC Instrument.
The Company has made an application to the Federal Court (Perth Registry) for orders to rectify the non-compliance. The application will be heard at 11am Perth time on 20 December 2019.
Pending an outcome of the application the Company will continue with the SPP, which closes on 24 December 2019 (unless extended by the Board in accordance with the Corporations Act and Listing Rules).
