SUPPLEMENTARY PROSPECTUS GRAPHITECORP LIMITED ACN 157 690 830
Important information 1.
This Supplementary Prospectus is dated 16 November 2015 (Supplementary Prospectus) and is intended to supplement and amend the information contained in the Replacement Prospectus dated 10 November 2015 (Prospectus) issued by Graphitecorp Limited ACN 157 690 830 (Company or Graphitecorp) to raise \$2 million through the issue of 10 million fully paid ordinary shares in the Company.
This Supplementary Prospectus was lodged with the Australian Securities and Investments Commission (ASIC) and the Australian Securities Exchange (ASX) on 16 November 2015. Neither ASIC nor the ASX take no responsibility for the contents of this Supplementary Prospectus.
This Supplementary Prospectus must be read together with the Prospectus. To the extent of any inconsistency between this Supplementary Prospectus and the Prospectus, this Supplementary Prospectus will prevail. Unless otherwise indicated, terms defined and used in the Prospectus have the same meaning in this Supplementary Prospectus.
The Company has issued both a printed and electronic version of this Supplementary Prospectus and the Prospectus. Electronic versions of both may be accessed at www.graphitecorp.com.au.
$2.$ Early closure of Offer
As at the date of this Supplementary Prospectus, the Company has received applications and commitments in excess of the Shares available under the Prospectus.
In view of this excess demand, the Board has resolved that the Offer be closed early.
3. Exploration program
As at the date of this Supplementary Prospectus, the Company has commenced Phase 2 drilling at the Mount Dromedary Graphite Project, which is described in section 2.4 of the Prospectus. The Board anticipates that preliminary results of the Phase 2 drilling will be released to the market in early 2016.
A copy of a press released issued by the Company is annexed to this Supplementary Prospectus.

This Supplementary Prospectus is issued by the Company. In accordance with section 720 of the Corporations Act 2001 (Cth), each Director has consented to the lodgement of this Supplementary Prospectus with ASIC and has not withdrawn that consent prior to lodgement.

GRAPHITECORP IPO CLOSES EARLY & DRILLING COMMENCES
Brisbane-based flake graphite project developer, Graphitecorp Limited (ASX: GRA) has closed its Initial Public Offer (IPO) early due to strong demand.
The IPO Offer opened formally on Tuesday, 10 November with the lodgement of a replacement prospectus with ASIC. The replacement prospectus is available on the Company's Website at www.graphitecorp.com.au.
Due to strong demand encountered since the IPO offer opened, the raising will be significantly oversubscribed.
The Company has therefore closed the offer early today, following discussions with Morgans Financial Limited (stockbroker to the IPO),
The Company is also pleased to advise that its Phase 2 drilling program has commenced at the Mount Dromedary Graphite Project in Queensland, with the arrival of two Universal Drilling Rigs this week.
The objective of the Phase 2 drilling program is to expand the maiden resource defined in the September drilling program earlier this year and provide sufficient core samples for metallurgical testwork.
Further updates on the outcomes of the Phase 2 drilling program and testwork will be announced as new information becomes available during the coming months.

ABOUT GRAPHITECORP
Graphitecorp Limited is developer of a high grade flake graphite deposit located in Queensland and referred to as the Mount Dromedary Flake Graphite Project.
The Mount Dromedary Flake Graphite Project is located 125 km north of Cloncurry in northwest Queensland, Australia, in an established mining province, and adjacent to a sealed highway that runs south of the mining town of Cloncurry and north to the port town of Karumba.
Graphitecorp has an 80% interest in the northern section of the Mount Dromedary graphite deposit representing approximately 90% of the mapped surface area of the deposit and has a 100% interest in the southern section of the deposit which has approximately 10% of the mapped surface area of the deposit. Graphitecorp has an effective 82% interest in the whole Mount Dromedary flake graphite deposit based on mapped surface area.
The Mount Dromedary Graphite Deposit was explored and mapped previously in the 1970s and 1990s, and more recently by Graphitecorp since 2014. With average graphite grade exceeding 15%, mineral exploration has identified and confirmed flake graphite mineralization hosted in a schist and slate, outcropping over a 3,000m strike-length, with thicknesses in excess of 30m and up-to 240m.
