Nordic Semiconductor ASA: Resolution to increase the share capital in Nordic Semiconductor ASA related to exercise of employee options

To facilitate the exercise of vested employee options

in Nordic Semiconductor ASA, the Board of Directors of

Nordic Semiconductor ASA has on the 18th April 2016,

in accordance with the authorization granted by the

Annual General Meeting on 17th April 2015, resolved to

increase the Company's share capital by up to NOK

37.715,03 by issuance of up to 3.771.503 new shares,

with a par value of NOK 0.01 per share equaling the

current total number of vested options.

Depending on the exercise of vested options the share

capital may be increased from NOK 1.634.406,00 to a

maximum of NOK 1.672.121,03.

The share capital increase will be registered in the

Companies Register as soon as practically possible

after the exact amount of the capital increase is

determined.
