Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On September 21, 2023, Marilyn Elson submitted her resignation as the Chief Financial Officer of Nexalin Technology Inc. (the “Company”). Ms. Elson’s resignation will be effective November 1, 2023. She will continue to serve the Company as its Chief Financial Officer until such effective date. After the effectiveness of her resignation, Ms. Elson will continue to work as Controller of the Company.

There were no disagreements between Ms. Elson and the Company. Ms. Elson’s resignation is not related to the operations, policies or practices of the Company or any issues regarding accounting policies or practices.
