F1: The transaction reported on this Form relates to the separation of the Issuer from the Reporting Person effective June 28, 2013 (the "Separation"). To effect the Separation, the issued and outstanding common stock of the Issuer, consisting of 1,000 shares of common stock prior to the Separation, was recapitalized into 406,541,318 shares of the Issuer's Class A common stock ("NWSA") and 278,060,664 shares of the Issuer's Class B common Stock ("NWS"). Shares of NWSA and NWS were distributed, by means of a pro rata dividend, to the holders of the Reporting Person's Class A common stock and Class B common stock, respectively. The Reporting Person did not receive any shares of NWSA or NWS in the Separation.
