PRE-REINSTATEMENT DISCLOSURE

Marathon Resources Limited (the “Company”) will be reinstated to official quotation from the commencement of trading on Friday, 3 July 2015, following the Company’s compliance with Listing Rule 11.1.3 and Chapters 1 and 2 of the ASX Listing Rules.

4. Letter from Computershare setting out the number of restricted securities and escrow period.

Letter from the Company dated 30 June 2015 confirming the completion of the share sale agreement dated 3 March 2015 between Marathon Resources Limited and ARP TriEnergy Pty Ltd (Vendors), including the issue of shares to the Vendors and confirmation that the Company is in compliance with the Listing Rules, and in particular, Listing Rule 3.1.
