Neodecortech S.p.A.:

• Approval of submission of applications for admission to listing and admission to trading of the Company's ordinary shares and warrants on the STAR segment of the MTA, organized and managed by Borsa Italiana, if the conditions are met.
• Amendment to art. 12 of the Bylaws.

Neodecortech S.p.A. ("NDT" or the "Company"), Italian market leader in the production of decorative papers for laminated panels and flooring for interior design, listed since 26 September 2017 on AIM Italia, a multilateral trading system organized and managed by Borsa Italiana S.p.A. ("AIM Italia"), hereby announces that the ordinary and extraordinary Shareholders' Meeting held today:

• approved the submission of the application for admission to listing of the Company's ordinary shares and warrants on the Mercato Telematico Azionario ("MTA"), the electronic stock market organized and managed by Borsa Italiana S.p.A., STAR segment, if the conditions are met, and the submission to CONSOB of a formal application for the authorization to publish the prospectus in the technical forms considered most suitable for the purpose;
• consequently approved the request to revoke the Company's shares and warrants from trading on AIM Italia, the effectiveness being subject to completion of the admission procedure on the MTA;
• resolved to make a number of amendments to art. 12 of the Bylaws regarding public takeover bids, adding the reference also to articles 108 and 111 of Legislative Decree no. 58 of 1998 (the "TUF").

Lastly, notice is given that the new version of the Bylaws and the minutes of the Shareholders' Meeting held today will be made publicly available within the time limits and in the manners of applicable laws and regulations.
