FINANZIARIA VALENTINI S.P.A.: CONCLUSA LA PROCEDURA DI ACCELERATED BOOK-BUILDING AVVIATA IL 29 OTTOBRE 2019

Rimini, 30 ottobre 2019 – Finanziaria Valentini S.p.A. ("Finanziaria Valentini"), azionista di maggioranza di Neodecortech S.p.A. ("NDT"), società ammessa a quotazione su AIM Italia, sistema multilaterale di negoziazione organizzato e gestito da Borsa Italiana S.p.A. (Ticker Borsa Italiana: NDT) (ISIN IT0005275778), facendo seguito al comunicato stampa pubblicato il 29 ottobre 2019, rende noto di aver concluso la procedura di accelerated book-building riservata a investitori qualificati e istituzionali e finalizzata ad incrementare il flottante di NDT ai fini dell'esecuzione del progetto di transizione degli strumenti finanziari di NDT dall'AIM Italia al Mercato Telematico Azionario ("MTA"), organizzato e gestito da Borsa Italiana S.p.A. (l'"ABB" o l'"Operazione").

Attraverso l'Operazione, Finanziaria Valentini ha ceduto complessive n. 1.200.000 azioni ordinarie NDT a un prezzo unitario pari a Euro 3,4.

Il regolamento dell'Operazione avverrà in data 1 novembre 2019 (c.d. "settlement date").

Finanziaria Valentini, per effetto del perfezionamento dell'Operazione, sarà titolare di una partecipazione pari al 63,55% del capitale sociale di NDT, soggetta agli impegni di lock-up assunti dalla stessa nel contesto della quotazione di NDT su AIM Italia, i quali hanno durata sino allo scadere: (i) del 36° mese dalla data di inizio delle negoziazioni su AIM Italia (i.e. 26 settembre 2017) o, se antecedente, (ii) del 6° mese dalla data di inizio delle negoziazioni sul MTA (in caso di completamento del suddetto progetto di transizione). Per consentire l'esecuzione dell'Operazione, BPER Banca S.p.A. ("BPER") e Banca Profilo S.p.A. hanno acconsentito alla richiesta, di Finanziaria Valentini, di derogare ai suddetti impegni di lock-up.

Per quanto a conoscenza di Finanziaria Valentini, sulla base delle informazioni rese disponibili al mercato, per effetto dell'ABB, il flottante è pari al 36,14% del capitale sociale di NDT (includendo nel calcolo le azioni proprie NDT).

BPER ha agito in qualità di Sole Bookrunner per l'Operazione.
