Item 8.01 Other Events

On September 28, 2012, Nektar Therapeutics, a Delaware corporation (the “Company”), completed the repayment of all principal and interest due on all of the Company’s remaining outstanding 3.25% convertible subordinated notes due 2012. The Company no longer has any convertible debt outstanding.
