Cleansing Notice

Mt Malcolm Mines NL (ASX: M2M or “the Company”) issued 28,260,000 fully paid ordinary shares (Shares) and 11,880,000 attaching options on 28 February 2024.

The issue of securities consisted of the following :

• 4,500,000 Shares were issued to Golden Venture Capital Pty (or their nominee) as approved by shareholders at the Company’s Extraordinary General Meeting (EGM) held on 31 January 2024 (refer Resolution 1), and

• 23,760,000 Shares and 11,880,000 attaching options issued to Directors as approved by shareholders at the EGM (refer Resolutions 5, 6(a), 6(b), 6(c) and 7).

The remainder of the Shares and attaching options approved to be issued at the EGM will be issued in due course.

The Shares are part of a class of securities quoted on the Australian Securities Exchange Limited (ASX).

1. The Company gives this notice pursuant to Section 708A(5)(e) of the Corporations Act 2001;

2. The Shares were issued without disclosure to the investors under Part 6D.2, in reliance on Section 708A(5) of the Corporations Act 2001;

3. The Company, as at the date of this notice, has complied with:

   • the provisions of Chapter 2M of the Corporations Act 2001; and

   • Section 674 of the Corporations Act 2001.

4. There is no excluded information as at the date of this notice, for the purposes of Sections 708A(7) and (8) of the Corporations Act 2001.
