Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(d) On August 24, 2016, the Board of Directors (the “Board”) of The Mosaic Company (“Mosaic”) elected Kelvin R. Westbrook to serve as a director of Mosaic for a term expiring at the annual meeting of shareholders in 2017 or until his successor is elected and qualified. Mr. Westbrook was also appointed to the Corporate Governance and Nominating Committee and the Environmental, Health, Safety and Sustainable Development Committee of the Board.

Mr. Westbrook is entitled to compensation for his service as a director of Mosaic pursuant to the policy adopted by the Board for all non-employee directors, including but not limited to a prorated portion, valued at $116,250, of the 2016 annual grant of restricted stock units. The date of grant of such restricted stock units is August 25, 2016.
