(b) On May 29, 2014, The Mosaic Company announced that Lawrence W. Stranghoener, its Executive Vice President - Strategy and Business Development and a “named executive officer” for whom disclosure was required in the Company’s proxy statement dated April 2, 2014 for its 2014 annual meeting of stockholders held on May 15, 2014, would be retiring effective December 31, 2014. On December 12, 2014, Mr. Stranghoener agreed to extend his retirement date to be effective January 23, 2015.
