Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(c) Moody’s Corporation (“Moody’s”) has designated Michael S. Crimmins, age 47, Senior Vice President – Corporate Controller, to serve on an interim basis as Moody’s principal financial officer, effective April 2, 2018. Mr. Crimmins was appointed as Moody’s principal accounting officer as of August 1, 2016, and will continue to serve in such capacity in addition to serving as principal financial officer. The Company is continuing its search to identify a successor to its Chief Financial Officer.

Mr. Crimmins served as Managing Director – Assistant Controller from January 2011 to August 1, 2016. Prior to becoming Managing Director, he served as Senior Vice President of Moody’s Shared Services, Inc. from April 2008 to January 2011 and as Vice President from January 2006 to April 2008. Before joining Moody’s, Mr. Crimmins worked at Deloitte & Touche LLP and PricewaterhouseCoopers LLP. He is a New York State Certified Public Accountant.
