Mitie Group plc (the "Company") - Listing Application

Further to the announcement on 20 September regarding, inter alia, the buy-out of all minority shareholder interests in the remaining Mitie Model entities, an application has been made to the Financial Conduct Authority and the London Stock Exchange plc for 2,396,381 Ordinary shares of 2.5p each (the "Shares") to be admitted to the Official List.

It is expected that admission will be granted on 19 October 2017 and trading will commence on 20 October 2017.

The Shares are to be issued in consideration for the purchase of the minority shareholdings in the remaining Mitie Model entities, of which 1,139,695 shares will be issued on the condition that the relevant individual remains in Mitie's employment until October 2019. Following completion of the transaction each Mitie Model entity will be wholly owned.

The Shares will rank pari passu with the existing issued Ordinary shares.
