Mitie Group plc (the "Company") - Notification of Transactions of Directors/Persons Discharging Managerial Responsibility and Connected Persons

The Company announces the following transactions in its Ordinary Shares of 2.5p each ("Shares"):

On 28 May 2015, the following Directors received Shares in the Company pursuant to awards made under the Mitie Group Deferred Bonus Plan in May 2013.

Suzanne Baxter	19,842

Following the above transactions, the interests of the above named directors are as follows:

a)    Ruby McGregor-Smith is beneficially interested in 638,576 Ordinary Shares (0.17% of the Company); and

b)    Suzanne Baxter is beneficially interested in 235,072 Ordinary Shares (0.06% of the Company).

This announcement is made in accordance with the requirements of DTR 3.1.4.
