Mitie Group plc (the "Company") - Notification of Transactions of Directors/Persons Discharging Managerial Responsibility and Connected Persons
The Company announces the following transactions in its Ordinary Shares of 2.5p each ("Shares"):
On 28 May 2014, the following Directors received Shares in the Company pursuant to awards made under the Mitie Group Deferred Bonus Plan in May 2012.

| Suzanne Baxter | 29,239 |
| Bill Robson | 28,789 |
On 28 May 2014, the Directors were awarded Shares in the Company pursuant to the Mitie Group Deferred Bonus Plan:

| Suzanne Baxter | 23,651 |
| Bill Robson | 23,298 |
These shares are expected to vest in May 2016 subject to continued employment.
Following the above transactions, the interests of the above named directors are as follows:
a) Ruby McGregor-Smith is beneficially interested in 611,850 Ordinary Shares (0.16% of the Company);
b) Suzanne Baxter is beneficially interested in 243,476 Ordinary Shares (0.07 % of the Company); and,
c) Bill Robson is beneficially interested in 1,653,174 Ordinary Shares (0.44 % of the Company).
This announcement is made in accordance with the requirements of DTR 3.1.4.
