NOTICE OF CHANGE OF AUDITOR

TO: British Columbia Securities Commission

Alberta Securities Commission

AND TO: Lancaster & David Chartered Professional Accountants AND TO: Mao & Ying LLP Chartered Professional Accountants

Millennium Silver Corp. (the “ Company ”) gives the following notice in accordance with Section 4.11 of National Instrument 51-102 - Continuous Disclosure Obligations (“ NI 51-102 ”):

1. The Board of Directors of the Company has accepted the resignation of its auditor, Lancaster & David Chartered Professional Accountants (“ Predecessor ”), of Suite 510, 701 West Georgia Street, Pacific Centre, Vancouver, BC V7Y 1C6 effective December 15, 2021, and Mao & Ying LLP Chartered Professional Accountants (the “ Successor ”), of 1488-1188 West Georgia Street, Vancouver BC V6E 4A2, has been appointed the Company’s auditor in respect of such vacancy to hold office until the next annual meeting of shareholders of the Company;

2. The resignation of Predecessor and the appointment of Successor were approved by the Board of Directors of the Company;

3. There have been no reservations in the reports of Predecessor on the financial statements of the Company for the two most recently completed fiscal years preceding the date of this Notice; and

4. In the opinion of the Company, there have been no reportable events (as defined in NI 51-102) that have occurred in connection with the audits conducted for the two most recently completed fiscal years or in the subsequent period preceding the date of this Notice.
