Item 5.02 DEPARTURE OF DIRECTORS OR PRINCIPAL OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF PRINCIPAL OFFICERS

On January 27, 2016, Middlesex Water Company (the “Company”) announced that its Board of Directors nominated Kim C. Hanemann to serve on its Board of Directors, effective January 26, 2016 as outlined in the attached press release.

Ms. Hanemann has been appointed to the Board’s Audit Committee. She shall stand for election as a member of Class I of the Board of Directors at the Company’s next Annual Shareholder’s Meeting on May 24, 2016. There is no arrangement or understanding between Ms. Hanemann and any other persons pursuant to which she was elected to the Board.
