Item 5.02 DEPARTURE OF DIRECTORS OR PRINCIPAL OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF PRINCIPAL OFFICERS

Effective January 1, 2006, Dennis G. Sullivan retired as President and CEO of Middlesex Water Company. Also, effective January 1, 2006, Dennis W. Doll became President and CEO of Middlesex Water Company, as well as a member of its Board of Directors.

Item. 1.01. ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT

Compensation Committee Actions on Executive Officer Compensation

Establishment of 2006 Base Salary. The Compensation Committee recommended, and the Board of Directors of Middlesex Water Company approved, a base salary for the Named Executive as the new President and CEO of the Company effective January 1, 2006 as follows:
