Roth & Rau AG takes over service provider Ortner cleanroom logistic systems
GmbH

Hohenstein-Ernstthal, 23 April 2009 - Roth & Rau AG today signed the
purchase agreement to take over Ortner cleanroom logistic systems GmbH
('Ortner'), Dresden. The takeover will occur at the earliest possible
opportunity. Ortner specialises in the installation, maintenance and
operations management of production facilities in the semiconductor and
photovoltaics industries. The company's particular strengths involve
installing and maintaining automatic handling systems for crystalline and
thin film production lines, as well as in coordinating maintenance and
analysing production processes with the aim of minimizing downtime and
reducing costs. The company has gained longstanding experience working in
these areas for the semiconductor industry. The existing management of
Ortner cleanroom logistic systems GmbH will continue to manage the
company's operating business. Ortner generated sales of EUR 6.1 million and
was highly profitable in the 2007/2008 financial year (reporting date: 30
September). The parties have agreed to maintain confidentiality concerning
the purchase price.

This acquisition will enable Roth & Rau to significantly expand its service
capacities, thus boosting its highly profitable and rapidly growing
maintenance and spare parts business. 'We are seeing increasing demand for

one of the leading suppliers of photovoltaics technology and equipment',

IFRS for the 2008 financial year and employed 606 people as of 31 December
2008.
