Item 2.02 Results of Operations and Financial Condition

On July 12, 2007, Methode Electronics, Inc. (the “Company”) issued a press release announcing its financial results for the fourth quarter and fiscal year ended April 28, 2007. The attached Summary Statement of Cash Flows included a typographical error. The change in cash and cash equivalents reported for the fiscal year ended April 28, 2007 incorrectly omitted parenthesis, as it was a decrease not an increase.

The Company’s Annual Report on Form 10-K filed as of the date hereof reflects the corrected financial statements.
