CLEANSING NOTICE

On 2 February 2022, MCS Services Ltd (Company) issued 2,700,000 ordinary fully-paid shares, being the vesting of performance-based shares, to senior management of the Company, including 1,800,000 shares issued to Mr Paul Simmons (CEO and Managing Director) as approved by shareholders at the Annual General Meeting on 29 November 2019 (Shares).

Notice under Section 708A(5)(e) of the Corporations Act

The Company gives notice pursuant to section 708A(5)(e) of the Corporations Act 2001 (Cth) (Corporations Act) that:

  1. The Shares were issued without disclosure to investors under Part 6D.2 of the Corporations Act.

  2. As at the date of this notice, the Company has complied with:

  3. (a) the provisions of Chapter 2M of the Corporations Act as they apply to the Company; and

  4. (b) section 674 of the Corporations Act.

  5. As at the date of this notice, there is no ‘excluded information’ of the type referred to in sections 708A(7) or 708A(8) of the Corporations Act that is required to be set out in this notice under section 708A(6)(e) of the Corporations Act.

This announcement has been authorised for release by the Board of Directors of the Company.
