Sub: Intimation for grant of options and allotment of equity shares under Max India Limited Employee Stock Option Plan, 2020 (“ESOP Plan”).

Dear Sir/Madam,

Pursuant to Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, as amended, we wish to inform you that today i.e. June 09, 2026, the Nomination and Remuneration Committee of the Company approved the following:

a) Grant of 8,74,227 (Eight Lakh Seventy Four Thousand Two Hundred and Twenty Seven Shares) Employee Stock Options (“ESOPs”) under the MIL Employee Stock Option Plan 2020 (“ESOP Plan”) to eligible employees of the Company, as per the details provided in Annexure “A”

b) Allotment of 60,000 equity shares having face value of Rs. 10 each, as fully paid-up, to the eligible employees of the Company/Subsidiary Companies, arising from the exercise of vested stock options in accordance with the ESOP Plan. Consequent to the aforesaid allotment, the issued, subscribed and paid-up capital of the Company stand increased from Rs.52,52,28,620 (comprising of 5,25,22,862 Equity Shares of ₹ 10/- each) to Rs. 52,58,28,620 (comprising of 5,25,82,862 Equity Shares of ₹ 10/- each).

This disclosure will also be hosted on the Company's website viz www.maxindia.com.
