Combined General Meeting, June 17, 2021

The Manitou Group's Annual General Meeting was held on June 17, 2021 at the company's headquarters in Ancenis, under the chairmanship of Jacqueline Himsworth.

Voting shareholders represented 35,265,270 shares, or 92.152% of the shares entitled to vote (after deducting 1,400,097 treasury shares) out of the 39,668,399 shares comprising the share capital.

The Meeting approved the financial statements for fiscal year 2020, the distribution of a dividend of €0.60 per share to be paid on June 23, as well as the renewal of the mandates as directors of Jacqueline Himsworth, Marcel-Claude Braud, Sébastien Braud, Emilie Braud, Cécile Helme-Guizon, Alexandra Matzneff and Christopher Himsworth and the appointment of Dominique Himsworth as director (to replace Gordon Himsworth).

The Extraordinary General Meeting approved the amendments to the Articles of Association submitted to it.

At the Board meeting following the General Meeting, the directors elected Jacqueline Himsworth as Chairman of the Board.
