The Management Board of MabionS.A. ("Company") hereby informs that onFebruary 23, 2021, the Extraordinary General Meeting of the Companyadopted resolution on the dismissal Mr. Jacek Nowak from the SupervisoryBoard of the Company.

In addition, the Extraordinary General Meeting of the Company on thesame day adopted resolutions on appointing Mr. Wojciech Wośko and Mr.Sławomir Kościak to the Supervisory Board of the Company for the secondshared term of office.

The resolutions of the Extraordinary General Meeting of the Company comeinto force on the day of their adoption.

Below, the Company presents information on the newly appointed Membersof the Supervisory Board of the Company.

Mr. Wojciech Wośko

A graduate of the Faculty of Medicine of the Medical Academy in Łódź andpostgraduate studies in Management Accounting at the University of Łódź.Licensed securities broker (license No. 449). He has been associatedwith the capital market since 1994. He worked for HSBC SecuritiesPolska, Dom Maklerski BZ WBK, Santander Biuro Maklerskie, where he wasresponsible for sales to institutional clients (investment funds,pension funds, asset management companies). He is competent inconducting transactions on domestic and foreign spot and derivativemarkets. He took part in the preparation and implementation of numerousoffers of public companies on the primary and secondary market. He hasbeen associated with Polfarmex S.A. since July 2020.

Mr. Sławomir Kościak

Licensed Investment Advisor with license number 303 and holder of theCFA (Chartered Financial Analyst)title. Graduated from the Warsaw Schoolof Economics with a major in Finance and Banking, also studied at AarhusSchool of Business in Denmark and Universität zu Köln in Germany,completed the Community of European Management Schools -Master's inInternational Management (CEMS MIM)management programme. Holder of aEducational Enterprise Foundation scholarship. He taught courses forstockbrokers (ZmiD)and investment advisors (PERK).He has more than 10years of experience in asset management. He worked, among others, at theEuropean Investment Fund in Luxembourg and the Morgan Stanley realestate fund in Frankfurt. Between 2009 and 2020, he managed a number ofdifferent funds and investment strategies within TFI PZU, both with PZUGroup's own funds and those entrusted by external clients, and equity,mixed, and absolute return funds. The investment portfolio includedcompanies listed on the WSE as well as those listed on stock exchangesin the EU and the USA. Member of the investment committee, AUM of overPLN 20 billion. Since 2014, in the position of Medical Sector Directorin TFI PZU, responsible for investments in companies from the healthcare sector.Mr. Sławomir Kościak meets the independence criteriareferred to in principle II.Z.4 of "Good Practices of Companies Listedonthe WSE 2016".

The appointed members of the Supervisory Board of the Company do notperform competitive activities outside of Mabion S.A. and do notparticipate in a competitive company as a partner in a civil-lawpartnership, private partnership or joint-stock company and do notparticipate in a competitive legal person as members of its bodies. Theaforementioned persons arenot entered in the Register of InsolventDebtors, maintained pursuant to the Act on the National Court Register.
