Recommendation on the Open Offer, as to whether the offer is fair and reasonable	IDC is of the opinion that the offer price of INR 2,000 (Indian Rupees Two Thousand) per equity share offered by the Acquirer is in accordance with the applicable regulations of SEBI (SAST) Regulations and accordingly, the Open Offer may be considered to be fair and reasonable. However, the shareholders of the Target Company are advised to independently evaluate the Open Offer and take an informed decision about tendering the Equity Shares held by them in the Open Offer.
12.	Summary of reasons for recommendation	IDC has taken into consideration the following for making the recommendation: IDC has reviewed- a) The Public Announcement ("PA") dated November 18, 2021 in connection with the Offer issued on behalf of the Acquirer, b) The Detailed Public Announcement ("DPS") which was published on November 26, 2021 and; c) The Letter of Offer ("LoF") March 3, 2022. IDC further took cognizance of the report issued by JM Financial Limited dated March 7, 2022 confirming that the Offer Price is in accordance with SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 2011. IDC also took cognizance of the report issued by Transaction Square LLP dated March 7, 2022 presenting the fair price per share of the Target Company as at the PA announcement date. In fair valuation report workings, the IDC also took note of the fact that while arriving at the fair price per share, the number of outstanding equity shares were adjusted for equity shares held by Escorts Benefit & Welfare Trust. The offer price of INR 2,000 per share represents a 36.43% premium over the volume weighted average price (INR 1,465.86) during the sixty trading days immediately preceding the date of PA, as mentioned in the DPS and a premium of 22.63% over the closing price (INR 1,630.95) on NSE on immediately preceding day of the PA i.e. 17 November 2021. Based on the review of PA, DPS and LoF and the independent report submitted by JM Financial Limited, the IDC is of the opinion that the Offer Price of INR 2000/-(Indian Rupees Two Thousand Only) Per Equity Share offered by the Acquirer is in line with the provisions of SEBI (SAST) Regulation and is fair and reasonable.
13.	Disclosure of voting pattern	The recommendations were unanimously approved by the IDC members.

The E-Voting module will be disabled by CDSL for voting on Friday, April 8, 2022 at 5:00 p.m. (IST).
• Once the vote on the Resolution is cast by a Member, the Member shall not be allowed to change it subsequently. Any request for voting through email or other mode will not be accepted.

केंद्र सरकारची मार्गदर्शक तत्त्वे कागदावरच ऑप आधारित टॅक्सींसाठी नियमांचा विसर

मुंबई: केंद्र सरकारची मार्गदर्शक नियमावली लाग न होणे आणि टॅक्सी ॲपआधारित परवानाशिवाय धावणे यावर राज्य भूमिकेवर उच्च सरकारच्या न्यायालयाने नुकतेच ताशेरे ओढले. त्यानंतर राज्य सरकारकडून केंद्र सरकारच्या मार्गदर्शक नियमावलीवर काम सुरू असल्याचे परिवहन वरिष्ठ विभागातील एका

अधिकाऱ्याने सांगितले. केंद्राची मार्गदर्शक नियमावली लाग झाल्यास ॲपआधारित टॅक्सीसाठी कमी गर्दीच्या वेळी ५० टक्क्यांपर्यंत भाडेदर, तर गर्दीच्यावेळी दीडपट अधिक भाडेआकारणी यासह अन्य नियम लागू होतील. या कंपन्यांना ॲग्रीगेटर परवानाही घेणे

बंधनकारक राहील.

सेवांकडून विमान सेवांप्रमाणे भाडेदर आकारणी होत असते. गर्दीच्या वेळी भाडेदर जास्त. तर कमी गर्दीच्या वेळी भाडे कमी ठेवले जाते. परंत तेही प्रवाशांना परवडणारे नसते. मोबाइल ॲपआधारित खासगी टॅक्सींवर भाडेदरासह अन्य बाबींवर नियंत्रण नव्हते. हे नियंत्रण ठेवण्यासाठी काही मार्गदर्शक तत्त्वे

■ ॲपआधारित टॅक्सीविषयी आलेल्या तक्रारीची शहानिशा केल्यानंतर आरोप सिद्ध झाल्यास त्या ॲग्रीगेटरची मान्यता कमीत कमी दहा दिवस ते जास्तीत जास्त सहा महिन्यांपर्यंत निलंबित करण्यात येईल. जर सातत्याने त्याविरोधात तक्रारी किंवा गुन्हा घडल्यास परवाना रद्द करण्यात येणार आहे. ■ या सेवांवर येण्याआधी चालकाला किमान पाच दिवसांचे प्रशिक्षण देणे बंधनकारक. तसेच वर्षातून दोन वेळा त्याला पुन्हा प्रशिक्षण द्यावे.

'मोटर वाहन ॲग्रीगेटर २०२०'नुसार ओला. उबेरसह अन्य ॲग्रीगेटर मार्गदर्शक तत्त्वे जाहीर केली होती. केंद्राकडून मार्गदर्शक तत्त्वे जाहीर झाल्यानंतर राज्य शासनाने याबाबत धोरण जाहीर करणे अपेक्षित होते. अद्यापही याबाबत निर्णय घेण्यात आलेला नाही. मार्गदर्शक तत्त्वांमध्ये कमी गर्दीच्या वेळी ५० टक्क्यांपर्यंत. तर गर्दीच्या वेळी मळ भाडेदरावर १.५ टप्प्यात भाडेओकारणी करता

येऊ शकेल. याशिवाय खासगी प्रवासी टॅक्सींचे कमीत कमी मूळ भाडेदर हे तीन किलोमीटरपर्यंत असावे. अशी सचना करण्यात आली आहे. विनाकारण सेवा रद्द केल्यास मळ भाडेदरावर १० टक्के याप्रमाणे रद्द करण्याचे शुल्क भरावे लागणार आहे. मात्र हे शुल्क १०० रुपयांपेक्षा कमी असावे, अशी सूचनाही करण्यात आली आहे.

वृद्ध साहित्यिक, लोककलावंतांच्या

मानधनात लवकरच वाढ

मुंबईः करोना काळात अडचणीत सापडलेल्या वृद्ध साहित्यिक, कलावंतासाठी जाहीर करण्यात आलेली मदत योजना कागदावरच राहिली असून करोना गेला तरी अजून एकाही कलावंताला मानधन मिळाले नसल्याचा आरोप विरोधी पक्षनेते देवेंद्र फडणवीस यांनी मंगळवारी विधानसभेत केला. तर या कलावंताना दिल्या जाणाऱ्या मानधनात पुढील अधिवेशनापूर्वी वाढ करण्यात येणार असल्याचे सांस्कृतिक कार्यमंत्री अमित देशमुख यांनी सांगितले.

देवेंद्र फडणवीस, प्रवीण दरेकर, भाजप प्रदेशाध्यक्ष चंद्रकांत पाटील यांच्यासह भाजपचे सर्व प्रमुख नेते, आमदार व खासदार मोर्चामध्ये सहभागी होणार आहेत.

संचालनालयाने (ईडी) कुर्ला-गोवाला कंपाऊंडमधील मालमत्तेचा खरेदी व्यवहार कायदेशीर असल्याचे सिद्ध करण्याची आणि कागदपत्रे सादर करण्याची संधीही दिली नाही.

ठरवन रद्द करण्याची मागणीही मलिक यांच्या वतीने ॲड्. अमित देसाई यांनी न्यायमूर्ती प्रसन्न वराळे आणि न्यायमूर्ती श्रीराम मोडक यांच्या खंडपीठाकडे केली.

प्रकरणात आर्थिक गैरव्यवहार प्रतिबंधक कायद्याच्या (पीएमएलए) तरतुदी पूर्वलक्षीपणे लागू करण्यात आल्याची बाबही देसाई यांनी मांडली.

निधी वाटपात काँग्रेस व राष्ट्रवादीच्या आमदारांच्या मतदार संघांना झुकते माप दिले जाते अशी व्यथा शिवसेना आमदारांनी मुख्यमंत्री ठाकरे यांच्याकडे पत्राद्वारे व्यक्त केली. त्यास राऊतांनी एक प्रकारे दुजोरा दिला. निधी वाटपाबाबत असलेल्या असंतोषाबद्दलच्या पत्रावरती चर्चा झाली आहे.

शिवसेनेच्या २५ किंवा त्यापेक्षा जास्त आमदारांनीही आपल्या भावना व्यक्त केल्या असतील तर त्यात गैर काहीच नाही. पक्ष कोणताही असला तरी राज्य सरकारच्या निधीवर प्रत्येक निवडून आलेल्या आमदाराचा तेवढाच हक्क आणि अधिकार आहे. असे संजय राऊत यांनी स्पष्ट केले. या नाराज आमदारांशी संवाद साधण्याची जबाबदारी एकनाथ शिंदे व सुभाष देसाई यांच्यावर टाकण्यात आल्याचे सांगितले जाते.
