Notice in Respect of Unit Issue

This notice is given by Cremorne Capital Ltd, as the responsible entity (Responsible Entity) for Lowell Resources Fund (ASX:LRT) (the Fund) in accordance with the requirements of section 1012DA(5)(e) of the Corporations Act 2001 (Cth) (“Corporations Act”).

The Responsible Entity today issued 5,188,265 fully paid units in the Fund, at an issue price of $1.10, to sophisticated and professional investors who participated in the Placement announced on 18 October 2024. The Responsible Entity advises that:

• (a) The Units were issued without disclosure to investors under Part 7.9 of the Corporations Act and without a Product Disclosure Statement for the units being issued;

• (b) The notice is being given under section 1012DA(5)(e) of the Corporations Act;

• (c) As a disclosing entity the Responsible Entity, as the issuer of the Units is subject to regular reporting and disclosure obligations;

As at the date of this notice the Responsible Entity has complied with:

• (a) The provisions of Chapter 2M of the Corporations Act as they apply to the Fund; and

• (b) Section 674 of the Corporations Act as it applies to the Fund; and

As at the date of this notice, there is no information to be disclosed that is “excluded information” within the meaning of sections 1012DA(7) and 1012DA(8) of the Corporations Act.

This notice has been authorised for release by the Responsible Entity.
