This Supplement (the Supplement) to the prospectus dated 31 March 2016 and the supplementary prospectus dated 16 May 2016, which together constitute a base prospectus (the Prospectus) for the purposes of Article 5.4 of Directive 2003/71/EC (as amended), constitutes a supplementary prospectus for the purposes of Section 87G of the Financial Services and Markets Act 2000 (the FSMA) and is prepared in connection with the €60 billion Global Covered Bond Programme (the Programme) established by Lloyds Bank plc (the Issuer).
This Supplement is supplemental to, and should be read in conjunction with, the Prospectus and the documents incorporated by reference therein. Capitalised terms used in this Supplement but not defined herein shall have the meanings ascribed to them in the Prospectus.
The Issuer and Lloyds Bank Covered Bonds LLP (the LLP) accept responsibility for the information contained in this Supplement. To the best of the knowledge of the Issuer and the LLP (having taken all reasonable care to ensure that such is the case) the information contained in this Supplement is in accordance with the facts and does not omit anything likely to affect the import of such information.
Purpose of this Supplement
The purpose of this Supplement is to:
(a) incorporate by reference into the Prospectus the Issuer's 2016 Half-Year Results and Issuer's 2016 Half-Year Management Report contained therein (as defined in this Supplement), which were published via the RNS on 28 July 2016;
(b) update the no governmental, legal or arbitration proceedings statement of the Issuer and its subsidiary and associated undertakings (the Lloyds Bank Group) and the Issuer; and
(c) update of the risk factor included at paragraph 11 of "Risk factors relating to the Covered Bonds" on page 66 of the Prospectus.
Documents Incorporated by Reference
By virtue of this Supplement, the following documents, which have previously been filed with the Financial Conduct Authority or the Registrar of Companies, shall be deemed to be incorporated in, and form part of, the Prospectus and supplement the section entitled "Documents Incorporated by Reference" on page 14 of the Prospectus, the Issuer's 2016 Half-Year Results and Issuer's 2016 Half-Year Management Report contained therein for the half-year to 30 June 2016, including the condensed consolidated half-year financial statements (unaudited) prepared on a statutory basis for the half-year to 30 June 2016, together with the independent review report thereon, as set out on pages 6 to 41 and 43 to 44 thereof, respectively (the 2016 Half-Year Management Report).

The no governmental, legal or arbitration proceedings statement of the Issuer and Lloyds Bank Group in the section entitled "Litigation" on page 243 of the Prospectus is supplemented as set out below:
Save as disclosed in: (i) the sub-section entitled "Mortgage arrears handling activities" on page 28 of the 2016 Half-Year Management Report; and (ii) the sub-sections entitled "Interchange fees", "Payment Protection Insurance", "Investigation and litigation relating to interbank offered rates, and other references rates", "Litigation in relation to insurance branch business in Germany", "Interest rate hedging products", "Provisions for other legal actions and regulatory matters", "UK shareholder litigation", "Financial Services Compensation Scheme", "Tax authorities" and "Residential mortgage repossessions" of the section "Lloyds Bank Group – Legal Actions and Regulatory Matters" on pages 146 to 150 of this Prospectus, there are no governmental, legal or arbitration proceedings (including any such proceedings pending or threatened of which the Issuer is aware) during the 12 months preceding the date of this Prospectus, which may have or have had in the recent past, significant effects on the financial position or profitability of the Issuer or Lloyds Bank Group.
(b) Risk Factor
The following risk factor shall be added as paragraph 11.21 on page 75 of the Prospectus:
"Prospective investors should note that their regulatory position on the Covered Bonds may be affected as a result of provisions under the current regime which restrict the availability of preferential treatment (including with respect to investment limits, regulatory capital and liquidity standards) to covered bonds issued by a credit institution with its registered office in an European Economic Area (EEA) state. It is uncertain whether such preferential treatment will remain available in respect of the Covered Bonds following any departure of the UK from the European Union and this will depend in part on the terms of the UK's exit. Investors in the Covered Bonds are responsible for analysing their own regulatory position and none of the Issuer, the Arranger or the Dealers makes any representation to any prospective investor regarding the regulatory treatment or the resultant secondary market liquidity of their investment at the time of investment or at any time in the future."
