NOTICE UNDER SECTION 708A(5)(e) OF THE CORPORATIONS ACT

Volta Mining Limited ( Company ) advises that on 27 November 2012 the Company issed 5,000,000 shares to Gains Advisors Limited issued in accordance with a Facilitation Agreement dated 29 August 2012 between the Company and Gains Advisors Limited. The shares were fully paid ordinary shares and were part of a class of securities quoted on ASX Limited.

The Company gives this notice pursuant to Section 708A(5)(e) of the Corporations Act 2001 ( Corporations Act ).

The Shares were issued to Gains Advisors Limited without disclosure under Part 6D.2, in reliance on Section 708A(5) of the Corporations Act.

The Company, as at the date of this notice, has complied with:

• a) the provisions of Chapter 2M of the Corporations Act; and

• b) Section 674 of the Corporations Act.

As at the date of this notice, there is no excluded information for the purposes of Sections 708A(7) and (8) of the Corporations Act.
