Confirmation of dispatch of Supplementary Bidder’s Statement and Original Prospectus Withdrawal Notice

Metminco Limited (ASX: MNC) (“ Metminco ” or “ the Company ” ) refers to its supplementary bidder’s statement dated 17[th] July 2019 (“ Supplementary Bidder’s Statement ”) in respect of its all scrip takeover offer for 100% of the fully paid shares in Andes Resources Limited (“ Andes ”) and the withdrawal notice dated 17[th] July 2019 ( “Withdrawal Notice” ), which withdrew the original prospectus dated 18 June 2019 (“ Original Prospectus ”).

A copy of the Supplementary Bidder’s Statement has been sent to each person who held securities in the bid class as at the date set by Metminco pursuant to section 633(2) of the Corporations Act 2001 (Cth) ( Act ) ( Andes Shareholder ) that has not accepted the offer at the date of the 17[th] July 2019.

The Withdrawal Notice has been sent to all Metminco shareholders and other applicants to the Original Prospectus dated 18[th] June 2019.

The Company confirms that it has advised Andes and ASIC of the dispatch of the Supplementary Bidder’s Statement.
