Item 2.02. Results of Operations.

On May 2, 2018, Landmark Bancorp, Inc. (the “Company”) issued a press release announcing results for the quarter ended March 31, 2018. The press release is attached hereto as Exhibit 99.1.

Item 8.01. Other Events.

The Company also announced in the press release that its Board of Directors approved a cash dividend of $0.20 per share. The cash dividend will be paid to all stockholders of record as of the close of business on May 16, 2018 and payable on May 30, 2018. A copy of the press release is attached hereto as Exhibit 99.1.
