On February 14, 2012, the Company completed an underwritten public offering of 9,487,500 shares of its common stock, par value $0.01 per share. The shares were issued and sold by the Company at a price to the public of $42.00 per share pursuant to an underwriting agreement dated as of February 9, 2012, by and among the Company, Kilroy Realty, L.P., the Company’s operating partnership, and the underwriters. Barclays Capital Inc., J.P. Morgan Securities LLC, Merrill Lynch, Pierce, Fenner & Smith Incorporated, and Wells Fargo Securities, LLC acted as representatives of the several underwriters named in the underwriting agreement. The shares sold in the offering included 1,237,500 shares issued and sold pursuant to the exercise in full of the underwriters’ overallotment option under the underwriting agreement. The underwriting agreement is filed herewith as Exhibit 1.1. The opinion of Ballard Spahr LLP with respect to the validity of the shares in the offering is filed herewith as Exhibit 5.1. The opinion of Latham & Watkins LLP with respect to certain United States federal income tax considerations relevant to the Company is filed herewith as Exhibit 8.1
